Terms of Service

These Terms of Service (these Terms) govern use of CommissionHub (the Platform or the Service), operated by Miraiworks LLC (the Company, we, us, or our). The Platform connects fans around the world with Japan-based illustrators and manga artists for commissioned two-dimensional artwork through a pooled, many-to-one commission system.
By creating an account or otherwise using the Service, you agree to be bound by these Terms, our Prohibited Content Policy, and our Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not use the Service.

1. Definitions
For purposes of these Terms, the following terms have the meanings set out below and are used with an initial capital letter throughout these Terms:
- Company, we, us, and our mean Miraiworks LLC, the operator of the Platform.
- Platform and Service mean the CommissionHub website and related services operated by the Company.
- User means any individual who registers for and uses the Service, including both Clients and Creators.
- Creator means a User who offers to produce commissioned illustration or manga artwork through the Platform.
- Requesting Client means a User who originates a Request by fixing its character, content, page count, budget goal, and deadline.
- Backer means a User who pledges Points toward an existing Request without altering its specifications.
- Client means, collectively, the Requesting Client and any Backers who have pledged Points to a given Request.
- Request means a posting created by a Requesting Client describing a desired piece of commissioned artwork and inviting Backers to pledge Points toward its stated funding goal.
- Pledge means a commitment of Points made by a Requesting Client or Backer toward the funding goal of a Request.
- Points means the prepaid, non-cash payment instrument described in Section 3, purchasable with real currency and usable only within the Platform.
- Reward means the Points ultimately transferred to a Creator following completion of an accepted Request.
- Content means text, images, and other materials submitted to or displayed on the Platform.
- NSFW Content means sexually explicit or otherwise adult two-dimensional artwork made available only within a separately gated, age-verified category of the Platform.
- Prohibited Content Policy means the Company's separate policy setting out categories of content and conduct barred from the Platform, incorporated into these Terms by reference.
2. Role of the Platform and Nature of Transactions
The Company operates the Platform solely as an intermediary and venue provider connecting Clients and Creators. The Company is not a party to, and assumes no contractual obligation under, any agreement for the creation, delivery, or licensing of commissioned artwork.
Each Request, once accepted by a Creator under Section 4, forms a direct contract between that Creator and the Client for that Request. All obligations relating to the creation and delivery of the artwork, including its content, quality, and timing within the agreed specification, are matters between the Creator and the Client alone.
The Company facilitates discovery, communication, pooled funding through Points, and the transfer of Reward Points, but does not review, approve, or guarantee the outcome of any individual commission beyond the content-moderation functions described elsewhere in these Terms and in the Prohibited Content Policy.
Because a Request aggregates funding from multiple Backers around a single specification fixed by the Requesting Client, all Backers who pledge to a Request are treated as co-Clients under the resulting contract with the Creator for purposes of delivery and licensing under Sections 5 and 6.
3. Points (Prepaid Payment Instrument)
Points are a prepaid payment instrument issued by the Company for use exclusively within the Platform to fund Pledges toward Requests. Points are purchased with real currency through the payment methods made available on the Platform, in the denominations and at the prices displayed at the time of purchase.
Points are not money, currency, or a deposit, and are non-redeemable for cash under any circumstances, including upon a Creator's decline of a Request, expiration of an unfunded Request, unused balances, or account closure or termination. Any return of Points under these Terms is credited solely as Points to the User's Platform balance.
- Points have no cash value and cannot be sold, gifted, transferred to another User's account, or exchanged for anything other than Requests on the Platform.
- Points do not earn interest or any other return.
- Unless earlier used, Points expire five years after the date of purchase; the Platform displays each Points balance and its applicable expiration date in the User's account.
- Where a Creator declines a Request, or a Request expires without reaching its funding goal or without being accepted, all Points pledged to that Request are returned to the pledging Users' Points balances; no cash refund is issued.
- The Company may suspend the sale of Points at any time, including for maintenance, legal compliance, or risk-management reasons, without affecting Points already held by Users.
- The Company will handle Points in accordance with applicable Japanese law governing prepaid payment instruments, including maintaining any required reserve for outstanding balances.
4. Request Formation and Pledges
A Requesting Client creates a Request by fixing its specification, namely the character, content, page count, budget goal, and deadline. Once posted, the specification of a Request may not be altered by any Backer; Backers may only pledge additional Points toward the stated funding goal.
A Request does not create any binding commitment on the part of a Creator merely by being posted or by reaching its funding goal. A Request becomes a binding commitment only when a Creator explicitly accepts it through the Platform. A Creator may accept a Request once its funding goal has been reached, or earlier at the Creator's sole discretion if the Creator chooses to proceed with partial funding.
No Reward is paid to a Creator, and no obligation to produce artwork arises, prior to the Creator's explicit acceptance of a Request.
A Requesting Client or Backer may withdraw a Pledge and have the corresponding Points returned to their available balance at any time before the Creator accepts the Request. Once a Creator has accepted a Request, Pledges toward that Request are locked and may not be unilaterally withdrawn, except as provided below.
If a Request is not accepted by any Creator before its stated deadline, or if a Creator who has not yet accepted declines the Request, the Request expires and all pledged Points are returned to the pledging Users as Points. If a Creator accepts a Request but subsequently fails to deliver, or the Company determines in its reasonable discretion that the Creator will not complete the Request, the Company may cancel the Request and return the pledged Points to the pledging Users as Points.
5. Delivery and Acceptance
A Creator delivers completed artwork through the Platform. The Platform has no revision or retake system: once a Creator accepts a Request, the manner in which the Creator interprets and executes the agreed specification is at the Creator's sole creative discretion, provided the delivered work is reasonably consistent with the character, content, and page count fixed in the Request.
Because there is no revision cycle, Requesting Clients are strongly encouraged to specify their requirements as completely and precisely as possible at the time a Request is created.
Upon delivery, the Reward is released from the pledged Points to the Creator, and the delivered artwork is made available to the Requesting Client and all Backers who funded the Request for viewing and download in accordance with Section 6.
The Company may, at its discretion and without obligation, provide a communication channel or informal mediation between a Client and a Creator in the event of a dispute over delivery, but the Company is not obligated to compel any revision, additional work, or refund, except as required by the return-of-Points provisions of Sections 3 and 4.
6. Copyright and License
Copyright and all other intellectual property rights in artwork produced through the Platform belong to the Creator who produced it, both during and after completion of a Request. No transfer of copyright to the Client or the Company occurs by virtue of a Request, a Pledge, or delivery of the artwork, unless the Creator and Client separately agree in writing to an assignment.
Upon delivery of a Request, the Requesting Client and each Backer who funded that Request receive a personal, non-exclusive, non-transferable, non-sublicensable license to view, download, and privately display the delivered artwork for their own personal, non-commercial use.
This license does not include the right to reproduce, publicly display, distribute, modify, create derivative works from, sell, sublicense, or otherwise commercially exploit the artwork, including through merchandise, publication, or minting as a non-fungible token, unless the Creator grants such rights in a separate written agreement.
Unless a Client requests confidentiality and the Creator agrees, a Creator retains the right to display commissioned artwork in the Creator's portfolio and to reference the completed Request for promotional purposes on or off the Platform.
7. Prohibited Conduct
Users must not use the Platform for any of the following, among other conduct barred by these Terms:
- Uploading, requesting, or delivering content that is illegal under Japanese law or the law of the User's jurisdiction.
- Content of any kind, real or fictional in style, that sexualizes minors; the Platform maintains zero tolerance for such content regardless of art style or the claimed age of a depicted character.
- Photography, live-action video, or any depiction of real identifiable individuals; the Platform is limited exclusively to original two-dimensional illustration and manga artwork.
- Harassment, threats, hate speech, or abusive conduct directed at other Users.
- Fraud, chargeback abuse, or any attempt to convert Points into cash outside the mechanisms described in Section 3.
- Infringing the intellectual property or other rights of any third party.
- Circumventing age-verification or content-gating systems, including for NSFW Content.
- Impersonating another person or entity, or misrepresenting one's affiliation with any person or entity.
This section is a summary only. The complete rules governing permitted and prohibited content and conduct are set out in the Prohibited Content Policy, which is incorporated into these Terms by reference and prevails over this section in the event of any inconsistency regarding content categories.
8. Age Restrictions and Verification
Use of the Platform is restricted to individuals who are at least eighteen years old. By registering for the Service, a User represents and warrants that they meet this minimum age requirement.
NSFW Content is made available only within a separately gated category of the Platform. Access to that category requires additional age verification beyond registration, using the verification method the Company designates from time to time.
The Company may request proof of age at any time and may suspend or terminate the account of any User who provides false information regarding their age or circumvents age-verification measures.
9. Account Suspension and Termination
The Company may suspend or terminate a User's account, in whole or in part, at its discretion, where the Company reasonably believes the User has violated these Terms, the Prohibited Content Policy, or applicable law, or has engaged in conduct that harms the Platform, other Users, or the Company.
For serious violations, including fraud, abuse of the Points system, or content prohibited under Section 7, the Company may suspend or terminate an account immediately and without prior notice.
Where an account is terminated, any Points pledged to Requests that have not yet been accepted by a Creator will be returned to the User as Points. Points pledged to Requests already accepted by a Creator, and Points otherwise implicated in the fraud or abuse giving rise to the termination, may be withheld or forfeited at the Company's discretion.
A User may close their own account at any time by contacting the Company. Any unused Points balance will remain available, subject to the expiration policy in Section 3, unless the User requests earlier removal.
10. Disclaimers and Limitation of Liability
The Service is provided on an as-is and as-available basis. The Company does not warrant that the Service will be uninterrupted, error-free, or secure, and does not warrant the quality, accuracy, timeliness, or fitness for any particular purpose of any artwork produced by any Creator.
As the Company is not a party to the contract for commissioned artwork between a Client and a Creator, the Company disclaims all liability for a Creator's failure to deliver, delayed delivery, or the quality or content of delivered artwork, except to the extent the Company's own acts or omissions are directly responsible.
To the maximum extent permitted by applicable law, the Company's aggregate liability to a User arising out of or relating to the Service, however characterized, is limited to the amount of Points the User purchased in the twelve months preceding the event giving rise to the claim, and the Company is not liable for any indirect, incidental, special, consequential, or punitive damages.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability arising from the Company's willful misconduct or gross negligence.
11. Governing Law, Jurisdiction, and General Provisions
These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles.
The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or use of the Service.
The Company may revise these Terms from time to time by posting the revised Terms on the Platform and updating the date above. Revisions take effect when posted, and a User's continued use of the Service after that date constitutes acceptance of the revised Terms. Where required by applicable law, the Company will provide additional notice of material changes.
These Terms, together with the Prohibited Content Policy and the Privacy Policy, constitute the entire agreement between a User and the Company regarding use of the Service. If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect. The Company's failure to enforce any provision is not a waiver of that provision.
These Terms are prepared in both English and Japanese for the convenience of Users. In the event of any inconsistency between the two versions, the Japanese version governs, as the Company is organized under, and these Terms are governed by, the laws of Japan.
